Terms of Service

Welcome to Current Future Labs Inc. ("we," "our," or "the Company"). These Terms of Service ("Terms") explain the rules for using our platform, software, APIs, and services (collectively, the "Service"). By using the Service, you agree to these Terms. If you don't agree, please do not use the Service.

1. Acceptance of Terms

You accept these Terms by clicking "I agree" when creating an account or using the Service, or by accessing or using the Service after notice of these Terms. You must be at least the age of majority in your jurisdiction to use the Service. If you do not meet this requirement, you may not create an account or use the Service. To purchase our products or access our APIs, you must first register by providing a current email address and any other information we require for verification.

2. Definitions

  • "Search" means a single query or request submitted through the Service to generate results.
  • "Third Party Data" means information sourced from registries, data providers, or APIs not controlled by Current Future Labs Inc.
  • "API" means our application programming interface available at api.getcurrent.ca.
  • "API Customer" means a user who accesses the Service programmatically via the API.

3. Eligibility and Accounts

Business users must have authority to bind their organization. Individuals may sign up personally but are responsible for their accounts. Accounts cannot represent multiple legal entities without approval. Individuals may later convert to a business account.

4. About the Service

The Service is a decision support tool for business verification, risk assessment, and related analysis. The Service is accessible via our web application (app.getcurrent.ca) and our API (api.getcurrent.ca).

4.1 Beta Service

The Service is currently provided as a beta product. This means:

  • Features may change. We may add, modify, or remove features at any time without notice.
  • Availability is not guaranteed. The Service may experience interruptions, downtime, or instability.
  • Data formats may change. API responses, export formats, and data structures may be modified.
  • No warranties. Beta services are provided "as is" with all faults. The disclaimers in Section 16 apply with additional force to beta features.

By using the Service, you acknowledge its beta status and agree that we have no liability for any issues arising from the evolving nature of the Service. We welcome feedback to help improve the Service.

5. Free Trial

We may offer limited trial access or other promotional use of the Service at our discretion. Trial terms, including scope, duration, or limits, may change at any time. Use of a trial does not entitle you to any refund or other compensation.

6. Accounts and Security

You are responsible for your login credentials, API keys, and all activity under your account. Each account is for a single user only and may not be shared among multiple individuals. API keys are confidential and must not be shared or exposed in client-side code. Notify us immediately of unauthorized access or suspected compromise of your credentials or API keys.

7. Use of the Service

You may use the Service for legitimate business purposes, including:

  • Conducting business verification searches
  • Exporting and storing search results for your internal records
  • Integrating search results into your internal business systems and workflows
  • Using data to support internal decision-making processes

Exported data and search results may only be used within your own organization. You may not:

  • Resell, redistribute, sublicense, or commercially share exported data or search results with third parties
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Create derivative works or competing products based on the Service
  • Use the Service for any unlawful purpose or in violation of third-party rights
  • Exceed rate limits or attempt to circumvent usage restrictions
  • Share, publish, or embed API keys in publicly accessible code or repositories
  • Use automated means to access the Service beyond the intended API functionality

8. API Terms

8.1 API Access

API access is subject to these Terms and any additional API documentation we provide. We may issue API keys, tokens, or other credentials to authenticate your access. You are responsible for all activity conducted using your API credentials.

8.2 Rate Limits and Quotas

API usage is subject to rate limits and quotas as specified in our API documentation or your service agreement. We may throttle or suspend access if you exceed these limits. We reserve the right to modify rate limits with reasonable notice.

8.3 API Availability

For self-serve users accessing the Service through our standard plans, we will use commercially reasonable efforts to maintain API availability but do not guarantee uptime. We may modify, deprecate, or discontinue API endpoints with reasonable notice. Breaking changes will be communicated in advance where feasible.

Enterprise customers with separate written agreements may be entitled to specific service level agreements (SLAs), uptime guarantees, and dedicated support as defined in those agreements. Such agreements supersede the terms in this section.

8.4 API Output and Data Usage

Data returned via the API is subject to the same restrictions as data accessed through the web application.

You may store API responses for the following purposes:

  • Maintaining records of searches conducted
  • Integrating results into your internal software systems and databases
  • Supporting audit trails and compliance documentation
  • Internal reporting and analysis

You may not cache API responses solely to reduce the number of API calls or avoid usage fees. Stored data must not be redistributed, resold, or shared with third parties. You are responsible for ensuring that any stored data remains accurate and up-to-date for your use case.

9. Compliance Responsibilities

You are responsible for using the Service in compliance with all applicable laws and regulations in your jurisdiction.

The Service is a decision support tool only. We do not claim to be a compliance service provider. The Service does not claim to satisfy any regulatory obligations, and we are not an approved or certified compliance solution under any regulatory framework. No regulatory body has endorsed, certified, or approved the Service as meeting specific compliance requirements.

You may use the Service to support your internal compliance processes, but you cannot rely on it as your sole compliance solution. The responsibility for meeting your legal and regulatory obligations remains entirely with you. If you require a certified compliance solution, you should seek services specifically designed and approved for that purpose.

10. Third Party Data

The Service aggregates and presents data from various third-party sources, including government registries, public databases, and commercial data providers ("Third Party Data"). You acknowledge and agree that:

  • Accuracy is not guaranteed. Third Party Data is provided "as is" from external sources. We do not independently verify the accuracy, completeness, or timeliness of this data. Errors, omissions, or outdated information may exist.
  • Availability may vary. Access to certain data sources may be interrupted, delayed, or discontinued without notice due to factors beyond our control, including changes to third-party systems or licensing arrangements.
  • Sources may change. We may add, remove, or modify the third-party sources we use at any time to improve the Service or due to changes in data availability.
  • No direct relationship. Your use of the Service does not create any contractual relationship between you and any third-party data provider. You may not contact or make claims against these providers based on data obtained through our Service.
  • Your responsibility. You are responsible for independently verifying any information obtained through the Service before making business decisions or taking action based on that information.

11. Customer Data

Data Ownership

You retain ownership of all data you submit to the Service ("Customer Data"). By using the Service, you grant us a limited, non-exclusive license to process, store, and transmit your Customer Data solely to provide and improve the Service.

Use of Exported Data

Data you export from the Service, including search results and reports, may only be used within your own organization for internal business purposes. You may not sell, license, distribute, or otherwise make exported data available to third parties.

Data Retention

We retain your account and associated data while your account remains active. Search history is retained for 12 months from the date of each search. Accounts that remain inactive for 12 months may have their data deleted or anonymized.

After termination or cancellation of an account, we retain your data for up to 90 days to allow for export or recovery. After this period, data will be permanently deleted or anonymized.

You may export your data or request deletion at any time by contacting us.

Anonymized Data

We may use anonymized or aggregated data derived from usage of the Service for internal analysis, research, product improvement, and reporting. This data will not contain any personally identifiable information or information that could identify your organization.

12. Fees and Payment

Self-serve users pay via credit card. Usage-based fees are billed in advance (e.g., credit for a Search). API usage is billed according to your service agreement or the pricing displayed at purchase. Enterprise payment options may include Stripe or invoicing. You are responsible for applicable taxes. All prices are in Canadian dollars (CAD) unless otherwise specified.

12.1 Credits

Search credits must be purchased before conducting searches. Credits are sold in two types: Lite and Full, each corresponding to different search capabilities. Purchased credits expire 12 months from the date of purchase. Credits included with a subscription plan are valid only for the current billing period and do not roll over.

12.2 Subscriptions

Subscriptions are available on a monthly or annual basis. Monthly subscriptions renew automatically each month until cancelled. Annual subscriptions are paid in advance for the full year and renew automatically unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us.

12.3 Refunds and Cancellations

All purchases of credits are final and non-refundable.

  • Monthly subscriptions: You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for the current period.
  • Annual subscriptions: Annual subscriptions are non-refundable. If you cancel, you will retain access until the end of your prepaid term.

Unused credits included with your subscription do not carry over and are forfeited upon cancellation or at the end of each billing period. Refunds may be granted at our sole discretion in exceptional circumstances, such as accidental duplicate purchases or service issues. 13. Suspension and Termination

  • Self-Serve Users: Cancel anytime in the interface; effective immediately.
  • Company Termination: We may suspend or terminate immediately if you violate Terms, break the law, pose a security risk, fail to pay, abuse the API, or if required by law.

After termination of an account, we retain your data for up to 90 days to allow for export or recovery. After that period, data will be deleted or anonymized. Temporary suspension may occur for operational or maintenance reasons. Suspension does not terminate the agreement.

14. Intellectual Property

We own all intellectual property in the Service, including the API, documentation, and all related materials. You may not copy, modify, or display our IP publicly without permission. Nothing in these Terms grants you any rights to our trademarks or branding.

14.1 Feedback and Suggestions

Any feedback, suggestions, ideas, enhancement requests, or other input you provide regarding the Service ("Feedback") becomes our exclusive property. You hereby assign to us all right, title, and interest in any Feedback, including all intellectual property rights. We may use, modify, and incorporate Feedback into the Service or any other products without any obligation to compensate you or provide attribution. You waive any moral rights in such Feedback to the extent permitted by law.

15. Decision Support Disclaimer

The Service is for informational purposes only. It is not legal, regulatory, financial, or compliance advice. You are responsible for any decisions you make using it.

16. Warranties and Disclaimers

The Service, including the API, is provided "as is" and "as available". We disclaim all implied warranties except those required by law. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

17. Limitation of Liability

To the maximum extent permitted by law, our liability to you for any claim arising from your use of the Service is limited to the amount you paid us in the 12 months prior to the claim. Trial users have no monetary remedy. We are not liable for indirect, incidental, or consequential damages, including damages arising from API downtime or data inaccuracies.

18. Indemnification

You agree to indemnify and hold Current Future Labs Inc. harmless from claims arising from misuse of the Service (including the API), violation of law or these Terms, or infringement of third-party rights. Applies to all users.

19. Privacy and Data Protection

Your use of personal data is governed by our Privacy Policy. Enterprise customers and API Customers processing personal data on behalf of third parties may request a Data Processing Agreement (DPA).

We use third-party service providers to host and operate the Service. Your data may be processed in Canada, the United States, or other jurisdictions where our service providers maintain facilities. We select providers that maintain appropriate security standards and contractual protections for data.

19.1 Data Security

We implement reasonable administrative, technical, and physical safeguards designed to protect Customer Data against unauthorized access, loss, or misuse. For details on our security practices and breach notification procedures, please see our Privacy Policy.

20. Changes to the Terms

We may update these Terms at any time. Material changes will be communicated via email to the address associated with your account. Continued use after receiving notice constitutes acceptance of the updated Terms.

21. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

21.1 Dispute Resolution

Before initiating any legal proceeding, the claiming party must provide written notice to the other party describing the dispute in reasonable detail. The parties shall attempt in good faith to resolve the dispute through negotiation within thirty (30) days of receipt of such notice. If the dispute is not resolved within this period, either party may pursue legal remedies.

21.2 Jurisdiction

Subject to the dispute resolution process above, any disputes arising under these Terms will be resolved exclusively in the courts located in Toronto, Ontario, Canada. Both parties consent to the personal jurisdiction of such courts.

22. General Legal Terms

22.1 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets. Any attempted assignment in violation of this section is void.

22.2 Force Majeure

Neither party will be liable for any delay or failure to perform obligations under these Terms due to causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, government actions, pandemic or epidemic, power outages, internet or telecommunications failures, cyberattacks, failures of third-party data providers or service providers, or labor disputes. The affected party shall provide prompt notice and use reasonable efforts to mitigate the impact.

22.3 Notices

All notices under these Terms must be in writing. Notices to you will be sent to the email address associated with your account and are effective upon sending. Notices to us must be sent to legal@getcurrent.ca and are effective upon receipt. You are responsible for keeping your contact information current.

22.4 Survival

The following sections survive any termination or expiration of these Terms: Section 10 (Third Party Data), Section 11 (Customer Data), Section 14 (Intellectual Property), Section 15 (Decision Support Disclaimer), Section 16 (Warranties and Disclaimers), Section 17 (Limitation of Liability), Section 18 (Indemnification), Section 19 (Privacy and Data Protection), Section 21 (Governing Law and Dispute Resolution), and this Section 22.

22.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. No person or entity other than the parties to these Terms may enforce any provision hereof.

22.6 Governing Language

These Terms are drafted in English. If these Terms are translated into any other language, the English version shall control in the event of any conflict or inconsistency.

22.7 Entire Agreement and Severability

These Terms, together with the Privacy Policy and any applicable DPA or enterprise agreement, constitute the entire agreement between you and Current Future Labs Inc. regarding the Service and supersede all prior agreements and understandings. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. Headings are for convenience only and have no legal effect.

22.8 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us to be effective.
